Hi I had the same problem recently... I wanted to install a theme for which I had to install a new cms... *So I did* It is easier in your case since you can access Php-Nuke from your c-panel --> Fantastico. I believe it is easy to upload a theme to the themes directory of your newly installed...

Thank you for your input... but my perms are administered. I created groups and I've assigned them the rights (read, write and execute)... Can you think of something else?
